1. Acceptance of Terms

By accessing our Site or placing an order for Products, you agree to be bound by these Terms, our Privacy Policy, and any applicable quotation, order acknowledgment, or invoice. If you do not agree to these Terms, you must not access the Site or order Products.

2. Our Products and Custom Orders

ACE specializes in the fabrication of custom commercial kitchen equipment. All Products are built-to-order based on your specifications.

• Quotes: Any quotes provided by ACE are an invitation to treat and are valid for the period stated therein. Prices are subject to change without notice until a final order confirmation is issued.
• Order Finalization: A final order requires your written approval of our detailed shop drawings and specifications. You are responsible for the accuracy of the information you provide.

3. Pricing and Payment Terms

• Price: The price of the Products will be the price set out in our final order confirmation. All prices are in U.S. dollars unless otherwise stated. Prices do not include applicable taxes or shipping charges, which will be added to your total invoice.
• Payment: Payment terms, including any required deposits, progress payments, and final balances, will be specified in your order confirmation. Failure to make timely payments may result in production delays or order cancellation.

4. Title and Risk of Loss

• Title: Title to the Products passes to you upon our receipt of full payment.
• Risk of Loss: Risk of loss or damage to the Products passes to you upon our delivery to the carrier at our facility in El Monte, CA, unless other shipping terms are agreed upon in writing.

5. Custom Product Nature; No Cancellation

Due to the custom, made-to-order nature of our Products, once an order is confirmed and production has commenced, orders cannot be canceled, modified, or returned except for a valid warranty claim as set forth in Section 6. Any agreement by ACE to accept a cancellation is at our sole discretion and will be subject to a cancellation charge covering all costs incurred and commitments made by ACE.

6. Limited Warranty and Disclaimer

• Warranty: ACE warrants that our fabricated stainless steel Products will be free from material defects in workmanship for a period of one (1) year from the date of delivery. This warranty does not cover damage caused by misuse, improper installation, normal wear and tear, alteration, or failure to follow maintenance guidelines.
• Disclaimer of Other Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS LIMITED WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL ACE EQUIPMENT INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. IN ALL CASES, ACE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE PURCHASE PRICE PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

8. Site Use and Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to text, photographs, product descriptions, and designs) are owned by ACE and are protected by United States and international copyright, trademark, and other intellectual property laws. You may use the Site only for your personal, non-commercial, business evaluation purposes.
